1. About These Terms and Acceptance

These Terms of Service ("Terms") govern the access to, and use of, 9DXR LABS, an immersive virtual reality (VR) education platform developed and operated by Drishta Technology Private Limited ("Drishta Technology", "the Company", "we", "us", or "our"). The 9DXR LABS platform comprises VR application software, learning modules, content libraries, the in-experience AI mentor character known as Medha, supporting tools, the website at https://9dxrlabs.com, and associated services.

These Terms apply to schools, educational institutions, government education departments, training centres, non-governmental organisations, corporate social responsibility (CSR) partners, teachers, administrators, lab coordinators, support personnel, and any other authorised institutional user (collectively, "Users") accessing or using 9DXR LABS in any form, including pilots, demos, paid deployments, free deployments, training sessions, and evaluation use.

By accessing or using 9DXR LABS, the User accepts these Terms and agrees to be bound by them, together with the 9DXR LABS Privacy Policy and any separate written agreement, proposal, purchase order, quotation, or invoice executed between the Company and the deploying institution. If a User does not accept these Terms, that User must not access or use 9DXR LABS.

2. Definitions

In these Terms, the following capitalised expressions have the meanings set out below:

  • "Company", "we", "us", "our" means Drishta Technology Private Limited, the operating company behind the 9DXR LABS brand.

  • "9DXR LABS", "Product", "Service", or "Platform" means the 9DXR LABS VR application, learning content, software, simulations, modules, AI mentor (Medha), training materials, support services, the 9dxrlabs.com website, and related services.

  • "User", "you", "your" means any school, institution, teacher, student, administrator, coordinator, parent, guardian, partner, or other person accessing or using the Product.

  • "Institution" means a school, college, government education body, training centre, non-governmental organisation, or any entity that has been authorised by the Company to deploy 9DXR LABS in a learning environment.

  • "Authorised Teacher" means a teacher or trained facilitator designated by an Institution to operate a 9DXR LABS classroom session, who has received product orientation from the Company or the Institution.

  • "Student" means a learner using 9DXR LABS in a classroom or institutional setting, including children.

  • "Child" means a person below the age of 18 in India (per the Digital Personal Data Protection Act, 2023), below the age of 13 in the United States (per COPPA), and below the age of 16 in the European Union (or such lower age set by an EU member state, not below 13, per the GDPR).

  • "Device" means any hardware on which 9DXR LABS is accessed, including VR head-mounted displays, tablets, computers, and related accessories.

  • "AI Mentor" or "Medha" means the in-experience virtual character that delivers guided learning, prompts, hints, and feedback within 9DXR LABS modules.

  • "Content" means all software, simulations, modules, animations, text, audio, video, scripts, illustrations, 3D assets, character designs, and other materials forming part of the Product.

  • "Privacy Policy" means the 9DXR LABS Privacy Policy, as updated from time to time, published at https://9dxrlabs.com.

 

3. Educational Purpose and Pedagogical Position

9DXR LABS is provided strictly for educational, instructional, training, demonstration, evaluation, and classroom learning purposes. The Product is designed to support the curriculum delivery of schools and institutions, with modules aligned to the National Council of Educational Research and Training (NCERT) framework for Classes 6 to 12 in subjects including Physics, Chemistry, Biology, and Mathematics.

9DXR LABS is a learning aid that complements, but does not replace, qualified teachers, textbooks, the formal curriculum, physical laboratory safety procedures where applicable, school academic policies, or assessment processes. The Product is most effective when used as part of a structured, teacher-led classroom programme.

 

4. Eligibility, Authorised Users, and Scope of Use

9DXR LABS may be accessed only by Institutions and individuals authorised in writing by the Company. Authorised use includes:

  • Use only for lawful educational purposes;

  • Use under the supervision of an Authorised Teacher or institutional facilitator;

  • Use on the Devices, in the locations, and during the licence or subscription period agreed in writing;

  • Use in accordance with training, safety, hygiene, and operational instructions issued by the Company;

  • Use in compliance with applicable laws, school rules, and these Terms.

Students do not, and cannot, create individual user accounts within 9DXR LABS. Any individual user account-based access (for example, for administrators or business contacts) is restricted to the persons authorised by the Institution in coordination with the Company.

 

5. Institutional Licensing, Subscription, and Commercial Terms

9DXR LABS is generally made available to Institutions through institutional licensing, subscription, purchase order, invoice, written agreement, or other written approval. Access scope is governed by the applicable commercial document and may include:

  • Number of Devices and concurrent users;

  • Duration of the licence or subscription, and renewal terms;

  • Number, type, and version of modules or experiments;

  • Authorised campuses, locations, or districts;

  • Software and content version covered;

  • Scope of training, onboarding, support, and maintenance;

  • Hardware procurement, supply, or rental arrangements;

  • Payment terms, taxes, refunds, cancellation, and renewal conditions.

Where there is any conflict between these Terms and a signed written agreement with the Company, the signed written agreement shall prevail to the extent of the conflict. The Company may suspend or discontinue access where payment is overdue, the licence has expired, or the Product is being used outside the authorised scope.

 

6. Pilots, Demos, and Trial Use

Where 9DXR LABS is provided for a pilot, free trial, evaluation, demonstration, or proof-of-concept deployment ("Trial Use"):

  • The Trial Use is provided on an "as-is" basis without warranty;

  • The Trial Use is bounded by the duration, scope, locations, and Devices set out in the trial communication or pilot scope document;

  • The Company may withdraw, suspend, or modify the Trial Use at any time on reasonable notice;

  • Continued use after the trial period requires a paid licence, written extension, or other written authorisation;

  • Schools must complete the same student-safety, supervision, hygiene, and child-safeguarding requirements set out in these Terms even during trials.

 

7. School and Institution Responsibilities

Schools and Institutions deploying 9DXR LABS are responsible for the safe, supervised, and lawful use of the Product within their premises. Specifically, the Institution is responsible for:

  • Designating Authorised Teachers and facilitators who have received product orientation;

  • Ensuring all Student use of VR Devices is under continuous adult supervision;

  • Providing a suitable, well-lit, ventilated classroom or lab space free of obstacles, sharp objects, and trip hazards;

  • Maintaining and securely storing Devices, charging batteries safely, and protecting Devices from damage;

  • Following all hygiene protocols described in these Terms and Company guidance;

  • Preventing unauthorised copying, sharing, photographing, screen recording, or redistribution of Content;

  • Not entering, uploading, or generating personal Student data inside the Product (other than as expressly agreed in writing);

  • Reviewing and complying with the privacy policies, terms, and safety guidance of third-party hardware, operating system, and platform providers;

  • Communicating relevant safety and usage information to parents and guardians of participating Students;

  • Ensuring compliance with applicable school policies, education department directives, and the laws of the jurisdiction in which the Institution operates.

 

8. Teacher Responsibilities and Classroom Supervision

Authorised Teachers running a 9DXR LABS classroom session are responsible for the safety, supervision, and well-being of Students during the session. Authorised Teachers shall:

  • Complete the Company's product orientation, or equivalent Institution-led training, before facilitating a Student session;

  • Maintain a continuous physical presence in the room during Student VR use;

  • Maintain a reasonable supervision ratio appropriate to the age group, classroom layout, and number of active Devices, generally not exceeding one supervising adult per ten actively-engaged Students unless additional adults are present;

  • Confirm the play area is clear before fitting the headset on a Student, and supervise transition into and out of the VR experience;

  • Pause or end a session immediately if a Student reports discomfort, dizziness, motion sickness, nausea, headache, eye strain, or any other adverse symptom;

  • Enforce session-length and break guidance set out in Section 9;

  • Follow shared-headset hygiene protocols set out in Section 11;

  • Report any safety incident, content concern, technical failure, or safeguarding concern to the Institution and to the Company in accordance with Section 20.

 

9. General Safety Guidelines

  • VR Devices must be used only in a safe, clear, well-lit area free of sharp objects, furniture corners, stairs, glass, and obstacles.

  • Students must remain stationary or within a designated play area while wearing a headset, and must not run, jump, swing, or make sudden physical movements that could cause injury.

  • Headsets must be fitted correctly, with the head strap secured and the lenses properly aligned to the Student's eyes.

  • 9DXR LABS sessions should be limited to a maximum of 30 minutes, with regular breaks between sessions.

 

10. Hardware, Operating Systems, and Third-Party Platforms

9DXR LABS operates on third-party VR hardware, operating systems, app stores, and device management platforms, including but not limited to Meta Quest devices on Meta Horizon OS, PICO devices on PICO OS, and other compatible hardware approved by the Company.

The Company is not responsible for the manufacture, hardware reliability, operating system updates, account management, app store practices, telemetry, or independent data processing of any third-party hardware, OS, app store, MDM, network, or platform provider. Such providers operate under their own terms of service, privacy policies, and safety guidance, which Institutions are responsible for reviewing and complying with.

 

11. Content Standards and Curriculum Alignment

The Company commits that 9DXR LABS Content is developed and reviewed against the following standards:

  • Age-Appropriate. Content is appropriate for the targeted age band in language, complexity, depiction, and emotional tone.

  • Educationally Sound. Content is reviewed by the Company's content team for factual accuracy, pedagogical clarity, and safe procedural representation, particularly for science experiments that have real-world hazards.

  • Inclusive and Non-Discriminatory. Content avoids stereotyping or discrimination based on gender, caste, religion, language, disability, socioeconomic background, region, or any other protected characteristic.

  • Free from Harmful Material. Content does not contain advertising, promotional content for third-party commercial products, hate speech, sexual content, gratuitous violence, or content that promotes self-harm, substance misuse, or other behaviour harmful to children.

  • Reviewed and Versioned. Content updates are version-controlled and released through controlled channels. Schools and teachers may raise content concerns through the channels in Section 20.

 

12. Accessibility, Equity, and Inclusion

9DXR LABS is built with the goal of widening, not narrowing, access to high-quality science and mathematics learning. The Product is developed with attention to:

  • Offline-first operation, so that schools with limited or unreliable internet connectivity can still deliver immersive learning;

  • Multilingual content, so that Students can learn in the language they understand best;

  • Teacher-led classroom mode, so that learners benefit from in-room guidance and are not isolated by the technology;

  • Hand-tracking interaction without controllers, reducing complexity for first-time learners;

  • Alignment with the NCERT curriculum, to support government schools and under-resourced contexts;

  • Ongoing improvements to accessibility for Students with diverse learning needs.

The Company welcomes feedback from Institutions, teachers, parents, and partners on accessibility and inclusion improvements, and treats such feedback as an important input into the product roadmap.

 

13. Privacy and Personal Data

Use of 9DXR LABS is also governed by the 9DXR LABS Privacy Policy, which is incorporated into these Terms by reference and is available at https://9dxrlabs.com.

In summary, and without limiting the Privacy Policy:

  • 9DXR LABS does not require Students to provide personal data for normal classroom use;

  • 9DXR LABS does not create Student profiles or store identified Student learning records;

  • Institutions and Authorised Teachers must not enter, upload, or otherwise generate personal Student data inside the Product unless separately agreed in writing with the Company;

  • Business contact data (for example, demo requests, support enquiries, partnership communications) is handled separately and only for legitimate business and service purposes.

Where any data protection law applies (including the GDPR, COPPA, and the India Digital Personal Data Protection Act, 2023), the Privacy Policy explains the Company's commitments, legal bases, the rights of individuals, and the contact details of the Grievance Officer. The Company aligns its practices with the safety, privacy, and child-protection expectations of UNICEF's EdTech for Good Framework and the UNICEF Learning Cabinet.

 

14. No Advertising, Profiling, or Commercial Targeting

The Company commits that, in any version of 9DXR LABS:

  • No advertising is displayed to Students inside the VR learning experience;

  • No Student data is used for behavioural advertising or third-party marketing;

  • No Student data is sold, rented, shared, or licensed for commercial purposes;

  • No commercial profile of any Student is built by the Company;

  • No automated decision-making, including profiling, that produces legal or similarly significant effects on a Student is undertaken;

  • No Student data is used to train external generative AI models.

Users and Institutions likewise must not use 9DXR LABS or any associated Content to collect Student data for advertising, behavioural targeting, profiling, or unrelated commercial purposes.

 

15. Intellectual Property Rights

All 9DXR LABS software, simulations, experiments, modules, designs, animations, 3D assets, illustrations, scripts, voice recordings, learning materials, documentation, training content, logos, trademarks, product names, brand assets, and the Medha character and associated likeness, voice, and dialogue (collectively, "Company IP") are owned by or licensed to the Company and are protected by Indian and international intellectual property laws.

Subject to compliance with these Terms and payment of all applicable fees, the Company grants the deploying Institution a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to use 9DXR LABS for authorised educational purposes during the valid licence or subscription period.

Users and Institutions shall not:

  • Copy, reproduce, photograph, screen-record, or extract any Content other than as expressly permitted in writing;

  • Sell, rent, lease, sublicense, distribute, or commercially exploit the Product or any Content;

  • Modify, decompile, disassemble, reverse-engineer, or attempt to derive the source code of the Product, except to the limited extent permitted by applicable law that cannot be excluded by agreement;

  • Remove, alter, or obscure any copyright, trademark, watermark, or other proprietary notice;

  • Use the 9DXR LABS or Drishta Technology name, logo, brand, or trademarks without prior written permission from the Company;

  • Share licensed Content with any third party that is not authorised under the relevant licence or written agreement;

  • Create derivative works, competing products, or training datasets based on any Company IP.

 

16. Acceptable Use and Prohibited Conduct

Users and Institutions shall not, directly or indirectly:

  • Violate any applicable law, regulation, or school policy through use of 9DXR LABS;

  • Cause harm or risk of harm to any Student, teacher, Device, or system;

  • Misuse, tamper with, or attempt to circumvent licence controls, content protection, or security controls;

  • Attempt unauthorised access to any part of the Product, related systems, or other Users' data;

  • Introduce malware, viruses, or any harmful code into the Product environment;

  • Interfere with or disrupt the integrity, security, or performance of the Product;

  • Use the Product in an unsafe physical environment or in a manner contrary to safety guidance;

  • Misrepresent the Company's certification, approval, partnership, or endorsement of any third-party offering;

  • Resell, sublicense, transfer, or commercially exploit 9DXR LABS without prior written authorisation;

  • Use the Product beyond the authorised location, Device count, or user scope;

  • Continue to use the Product after expiry, suspension, or termination of the relevant licence;

  • Use the Product for any purpose that is harmful to children, including any form of child exploitation, harassment, or abuse.

 

17. Reporting Safeguarding, Safety, or Content Concerns

Schools, teachers, parents, guardians, Students, partners, and any other person may report a concern about Student safety, well-being, content appropriateness, child safeguarding, or any incident involving 9DXR LABS to the Company at any time.

The Company will acknowledge safeguarding and safety reports promptly, treat them with appropriate confidentiality, investigate as appropriate, and take reasonable corrective action. Where required by law, relevant incidents will be reported to competent authorities. Nothing in these Terms restricts any person from reporting a safeguarding concern directly to law enforcement, child welfare authorities, or other appropriate bodies.

 

18. Product Updates and Changes

The Company may, from time to time, update, modify, replace, improve, deprecate, or remove features, modules, experiments, Content, software components, designs, or support processes. Updates may be issued for content improvement, bug fixes, Device compatibility, security, performance, learning experience, classroom usability, or compliance reasons.

Some updates may require Device configuration, internet connectivity, application updates, or support assistance. The Company will use reasonable efforts to minimise disruption and to notify Institutions of material changes that affect classroom operations.

 

19. Training and Support

Subject to the applicable licence or agreement, the Company may provide training, onboarding, installation guidance, content updates, Device setup support, and technical assistance. Typical support may include teacher orientation, Device usage training, product demonstration, installation support, content update support, troubleshooting, and basic operational guidance.

Support availability, timelines, response targets, and channels depend on the applicable agreement, location, issue type, Device condition, internet availability, and the Company's support team schedule.

 

20. Service Availability and Limitations

The Company aims to provide a reliable and useful educational experience. However, the Product may depend on factors outside the Company's full control, including:

  • Device condition, age, and battery state;

  • Hardware compatibility and firmware version;

  • Lighting and physical space conditions in the classroom;

  • Internet or Wi-Fi availability, where required for content updates or sync;

  • Third-party platform, OS, app store, or MDM performance;

  • Software and content version installed;

  • Proper installation, supervision, and handling.

Except as expressly stated in a written agreement, the Company does not guarantee uninterrupted, error-free, or permanently available operation.

 

21. Disclaimer of Educational Outcomes

9DXR LABS is designed to improve classroom engagement, conceptual understanding, and experiential learning. However, learning outcomes will vary depending on Institution-level implementation, teacher facilitation, Student participation, training quality, classroom environment, and usage frequency. The Product is a learning support tool; it does not guarantee specific academic results, marks, grades, examination outcomes, or admissions outcomes.

 

22. Publicity, Images, Videos, and Testimonials

The Company will not use Institution names, logos, Student images, teacher images, photographs, videos, testimonials, or case studies for marketing, public communication, fundraising, or social media without appropriate written permission from the Institution or other authorised representative.

Institutions are responsible for obtaining all required internal consents (including, where applicable, parental or guardian consent and Student consent) before sharing Student or teacher images, videos, or testimonials with the Company for any public or marketing use. Consents must comply with the Privacy Policy and applicable law, including special protections applicable to children's images.

 

23. Feedback and Suggestions

Institutions, teachers, Students, coordinators, partners, and users are welcome to share feedback, suggestions, comments, or ideas about the Product. By submitting such feedback, the contributor grants the Company a non-exclusive, royalty-free, perpetual right to use the feedback to improve the Product, content, training, and services, unless separately agreed in writing.

Users must not include personal Student data, identifiable Student work, or Student images in feedback unless separately agreed and with appropriate consent.

 

24. Anti-Discrimination, Child Safeguarding, and Ethical Conduct

24.1 Anti-Discrimination

The Company does not discriminate, and shall not assist or be party to discrimination, on the basis of gender, caste, religion, language, disability, ethnicity, socioeconomic background, region, or any other characteristic protected by applicable law. Schools and Institutions deploying 9DXR LABS are expected to make the Product available to Students on a non-discriminatory basis.

24.2 Child Safeguarding

The Company is committed to the safety, dignity, and well-being of children. The Company supports the principle that the best interests of the child are a primary consideration in any decision affecting children, consistent with the UN Convention on the Rights of the Child and UNICEF's child-safeguarding standards.

Conduct that is harmful to children, including child abuse, exploitation, harassment, grooming, or any form of online or offline harm, is incompatible with the use of 9DXR LABS and may result in immediate termination of access, as well as appropriate reporting to competent authorities.

24.3 Anti-Corruption and Ethical Conduct

The Company conducts its business in accordance with applicable anti-corruption laws and ethical standards. The Company does not offer, give, or accept improper inducements in any government, institutional, or commercial procurement or partnership. Institutional partners are expected to maintain comparable standards of ethical conduct.

25. Suspension and Termination

The Company may suspend or terminate access to 9DXR LABS where:

  • The applicable licence, subscription, or agreement expires or is not renewed;

  • Payment is overdue beyond the period set out in the relevant commercial document;

  • There is a material breach of these Terms;

  • Content is copied, redistributed, or misused contrary to Section 18;

  • Devices or software are tampered with, or licence controls are circumvented;

  • The Product is used outside the authorised scope;

  • Continued access creates a legal, safety, security, or operational risk;

  • A child safeguarding concern requires immediate suspension while investigated.

Upon termination, the User or Institution must stop using the Product, return or uninstall it as directed, cease all use of Content, and comply with any other requirements set out in the applicable agreement. Sections that by their nature should survive termination — including IP rights, confidentiality, limitations of liability, indemnity, dispute resolution, and grievance contact — shall survive.

 

26. Limitation of Liability

To the maximum extent permitted by applicable law, the Company shall not be liable for, and disclaims any liability arising from:

  • Unsafe, unsupervised, or unauthorised use of Devices or the Product;

  • Misuse, modification, or tampering with hardware or software;

  • Failures, telemetry, or data practices of third-party hardware, OS, app stores, MDM, networks, or platform providers;

  • Use outside the authorised scope, location, Device count, or licence period;

  • Loss arising from expired, misused, or unauthorised access;

  • Internet, Wi-Fi, electricity, or battery failures;

  • Acts or omissions of Institutions, teachers, parents, guardians, Students, or third parties;

  • Any indirect, incidental, special, exemplary, punitive, or consequential damages, including loss of profits, goodwill, data, or business opportunity.

Where liability cannot be excluded under applicable law, the Company's aggregate liability arising out of or in connection with these Terms and the Product shall be limited to the amount actually paid by the relevant Institution to the Company for use of the Product during the twelve (12) months immediately preceding the event giving rise to the claim. Schools and Institutions remain responsible for Student supervision, classroom safety, and proper implementation.

 

27. Indemnity

Users, schools, and Institutions agree to indemnify, defend, and hold harmless the Company, its directors, officers, employees, contractors, and agents from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Misuse of the Product or breach of these Terms;

  • Unsafe implementation or failure to follow safety, hygiene, or supervision requirements;

  • Unauthorised copying, sharing, or commercial exploitation of Content;

  • Violation of intellectual property rights, privacy rights, or other rights of any third party;

  • Breach of applicable laws, regulations, or school policies;

  • Entry, upload, or generation of personal Student data inside the Product contrary to these Terms or Company guidance.

 

28. Force Majeure

Neither party shall be liable for any delay or failure in performance arising from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics or epidemics (and related public-health measures), war, civil unrest, terrorism, government action, regulatory change, strikes, power or telecommunications failures, internet outages, cyber attacks, or third-party platform failures. The affected party shall take reasonable steps to mitigate the effect of the event and resume performance as soon as reasonably practicable.

 

29. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles.

The parties shall first attempt in good faith to resolve any dispute, controversy, or claim arising out of or in connection with these Terms through informal discussions between authorised representatives, within thirty (30) days of written notice of the dispute. If the dispute is not resolved through informal discussion, the parties shall escalate to mediation or other amicable resolution mechanism before initiating formal proceedings, unless urgent interim relief is required.

Subject to the above, the competent courts located in Gurugram, Haryana, India shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms, unless otherwise agreed in writing in a separate agreement (for example, an arbitration clause in a signed institutional contract).

 

30. General Provisions

  • Notices. Any notice under these Terms must be given in writing, by email to info@9dxrlabs.com (to the Company) or to the email address of the authorised institutional contact (to the Institution). Notices are deemed received on the next business day after sending, absent evidence of non-delivery.

  • Severability. If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be replaced by a valid provision that most closely reflects the original intent.

  • Waiver. Failure by the Company to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other right.

  • Assignment. The User and Institution may not assign or transfer these Terms or any rights under them without the prior written consent of the Company. The Company may assign these Terms to an affiliate or in connection with a merger, acquisition, restructuring, or sale of assets.

  • Entire Agreement. These Terms, together with the Privacy Policy and any signed written agreement with the Company, constitute the entire agreement between the parties in relation to the Product, and supersede all prior understandings, communications, or representations.

  • No Partnership. Nothing in these Terms creates a partnership, joint venture, agency, employment, or fiduciary relationship between the parties.

  • Language. These Terms are provided in English. Where translated versions are made available, the English version shall prevail in case of any inconsistency.

  • Survival. Provisions relating to intellectual property, confidentiality, privacy, limitation of liability, indemnity, dispute resolution, grievance contact, and any provisions that by their nature should survive, shall survive termination of these Terms.

 

31. Changes to These Terms

The Company may update these Terms from time to time to reflect product changes, legal or regulatory developments, operational improvements, or safety updates. The updated version will carry a revised "Last Updated" date and version number. Material changes will be communicated to Institutions through the usual support or business communication channels. Continued use of the Product after the effective date of an updated version constitutes acceptance of the updated Terms.

In line with the India Digital Personal Data Protection Act, 2023 and applicable consumer protection rules, and consistent with international good practice, the Company has designated the following point of contact for any concerns, grievances, or formal complaints relating to 9DXR LABS, including safeguarding, safety, content, privacy, and commercial concerns:
